Terms and Conditions of Sale

1. Definitions

All and any business of whatsoever nature undertaken is transacted subject to the conditions here in after appearing and each of these conditions set out shall be deemed to be incorporated in and to be a condition of any agreement between the Company and its Customers. The Company shall mean the entity trading as The Virtual Uniform Shop (virtualuniformshop.co.uk) / Just Sew, of 1 Society Place, West Calder, West Lothian, Scotland. EH55 8SA.

1.1 Customer: The Customer shall mean the person, firm, body corporate or Company contracting with the Company known as The Virtual Uniform Shop (virtualuniformshop.co.uk) / Just Sew who agrees to buy the Goods from that Company.

1.2 Conditions: The terms and conditions of sale as set out in this document and any special terms and conditions agreed in writing by the Company.

1.3 Goods: The articles or products which the Customer agrees to buy from the Company.

1.4 Price: The price for the items, excluding postage. The Company reserves the right to alter prices, and specifications without any prior notice.

2. Conditions

2.1 These Conditions shall form the basis of the contract between the Company and the Customer in relation to the sale of Goods, to the exclusion of all other terms and conditions including the Customers standard conditions of purchase or any other conditions which the Customer may imply under any purchase order or confirmation of order or any other document.

2.2 Every endeavour will be made to carry out the contract but its due performance is subject to cancellation by the Company or to such variation as it finds necessary as a result of any Act of God, War, Strike, Lockout or any other dispute, flood, fire, drought, legislation or other causes (whether of the foregoing class or not) beyond the Company control. No responsibility is accepted by the Company for late deliveries in this respect.

2.3 All orders for Goods shall be deemed to be an offer by the Customer to purchase Goods from the Company pursuant to these Conditions.

2.4 Acceptance of delivery of the Goods shall be deemed to be conclusive evidence of the Customers acceptance of these Conditions.

2.5 No agent or employee of the Company has the authority to alter and vary these terms and conditions except by the written agreement of a Director of the Company.

2.6 The Company shall not be liable in respect of any claims by the Customer arising out of any of the conditions, warranties and guarantees subject to which the goods are offered as to all of which matters the customer shall satisfy himself.

2.7 In respect of designs such as logos and other such artwork supplied by the Customer. The Company does not give or imply any warranty that the goods sold do not infringe the patent rights of a third party. If goods are manufactured to the Customer’s design or according to the Customer’s instructions, the Customer shall indemnify the Company in respect of all claims, damages, costs and expenses in respect of any alleged infringement and on discovery of such infringement the Company shall be at liberty to terminate the contract and receive payment for all goods supplied, manufactured or allocated to the Customer even if not actually delivered to or collected by a Customer.

2.8 If any legislation is compulsorily applicable to any business undertaken, these terms and conditions shall as regards such business be read as subject to such legislation and nothing herein shall be constructed as a surrender by the Company of any of its rights or immunities whether as an increase of its responsibilities or liabilities under such legislation.

2.9 These Conditions represent the whole of the agreement between the Customer and the Company.

3. Price

3.1 The Price shall be price quoted on the Company’s confirmation of order. The Price is inclusive of VAT, if applicable, but exclusive of postage or other distribution costs. Note: virtualuniformshop.co.uk garments include UK postage and packaging.

4. Payment and Interest

4.1 Payment of the Price will be due on delivery of the goods. Delivery of goods shall be accepted and payment shall become due as noted on the invoice. 30 day terms are available on request.
 
4.2 Goods purchased online are offered on the basis that payment will be made in full at the time of the online order being placed, unless agreed otherwise.

4.3 Interest on overdue invoices shall accrue from the date when payment becomes due. The Company reserves the right to charge interest at 2% per month on all outstanding balances, and to recover any third party collection costs relating to overdue debts.

4.4 The Customer shall pay when due all accounts in full, unless agreed otherwise.

5. Goods

5.1 Any description of Goods sold is given by way of identification only and shall not constitute a contract of sale by description nor shall the production or exhibition of a sample prior to the placing of an order be taken to constitute a sale by sample. Fabric composition is given as a guide only and as the Company cannot control the manufacture of such fabric the Company reserve the right to change composition without prior notice. The quantity and description of the Goods shall be set out in the Company confirmation of order, delivery note and invoice.
 
5.2 Any description of Goods sold will be derived from descriptions provided by the manufacturer or manufacturers distributor or agent, as provided to the Company in their promotional literature.

6. Warranties

6.1 The Company warrants that the Goods will at the time of delivery correspond to the description given by the Company, as defined above.

6.2 Notwithstanding the above, Garments are not manufactured by the Company; therefore unless specified on the contract, no guarantee can be given or implied as to quality, washing stability, colour fastness, wearability or quality of the goods supplied, nor as to their fitness for any purpose expressed. The customer shall in no case to be taken to have relied upon the skill or expertise of the Company or its agents in this regard.

7. Delivery

7.1 Every endeavour will be made to deliver the correct quantity ordered but deliveries are conditional on customers accepting that errors may occur.

7.2 Delivery of the Goods shall be made to the Customers address, unless agreed otherwise. The customer shall make all arrangements necessary to take delivery of the Goods on the dates notified by the Company.

7.3 The Company undertakes to use reasonable endeavours to despatch the Goods so they arrive on an agreed date, but can not guarantee to do so. Delivery may be subject to the performance of third party service providers. Time of delivery shall not be of the essence of the contract.

7.4 The Company is in no way responsible or liable for any indirect or consequential loss or for any loss to the customer arising from third party claims due to errors, defective dye, manufacturing or fabric faults or any delay in delivery. The Company shall not be liable to the Customer for any loss of damage whether arising directly or indirectly from the late delivery or error in delivery of the Goods. If an error or, for example, part delivery occurs, the Customer undertakes to accept the Goods delivered as part performance of the contract whilst the Company endeavours to correct the error.

7.5 If the Customer fails to take delivery of the Goods on the agreed delivery date the Company shall be entitled to store and insure the Goods and to charge the Customer the reasonable costs incurred in such circumstances.

8. Acceptance of the Goods

8.1 The Customer shall be deemed to have accepted the Goods 48 hours after delivery to the Buyer, unless agreed otherwise in writing by the Company.

8.2 The Customer shall carry out a thorough inspection of the Goods within 48 hours of delivery and shall give written notification to the Company within 5 working days of delivery of the Goods of any defects which a reasonable examination would have revealed. Claims regarding shortages (partial loss of goods in transit), or damage must be made in writing to the Company and the carrier so as to reach them within 5 days of receiving the Goods.

9. Title and Risk

9.1 Risk shall pass on delivery of the Goods to the Customers address.

9.2 The ownership and title of the Goods shall not pass to the customer until payment in full of the price to the Company.

9.3 Until payment has been made in full, the Customer shall ensure that the Goods can be identified as the property of the Company.

9.4 In circumstances where the Customer fails to make payment in full as above, the Company may:

9.4.1 Exercise the right to bring proceedings before the Courts in the place of residence and business for the price of any Goods

9.4.2 Repossess and use or sell all or any of the Goods. - on the expiration of 14 days notice to dispose of such goods or property in such manner and at such price as the Company thinks fit and to apply the proceeds towards such debts. Goods in the customer’s possession must be returned to the Company within 14 days of the date when the debt becomes due, unless specifically agreed otherwise. The property in the Goods shall not pass to the customers until payment in full of the price has been made to the Company.

9.4.2 Enter any premises of / or occupied by the Customer for the purpose of repossession.

10. Delivery of Goods

Delivery charges are as per price list which will be subject to change without any prior notice. Expedited deliveries may be charged extra. Delivery will be chargeable on all sales unless arrangements have been made for free delivery or collection has been arranged from our premises.

11. Refund Policy
 
In exceptional circumstances a refund may be available at the discretion of the company management.
